These terms and conditions (the "Terms and Conditions") govern the use of www.valtoriamedia.com (the "Site"). This Site is owned and operated by Valtoria Media, Inc. This Site is a digital marketing, media / content management website. THIS SITE IS NOT A PART OF GOOGLE, YOUTUBE OR ANY COMPANY WHOLLY OWNED BY GOOGLE OR YOUTUBE. ADDITIONALLY THIS WEBSITE IS NOT ENDORSED BY GOOGLE OR YOUTUBE IN ANY WAY.

The following Terms and Conditions govern the agreement (“Agreement”) between You (the purchaser of the of one of the Done-For-You VidConcierge Packages (the “Offer”)) and Valtoria Media, Inc., and its affiliates, sub-contractors, employees, agents, owners, or assigns (“Valtoria Media”), attached hereto and entered into effective as of the date of purchase (“Effective Date”). 

Valtoria Media reserves the right to delegate some of the work outlined in these Terms of Service, including but not limited to tasks such as script writing, video editing, and graphic design, to subcontractors or freelance workers. Valtoria Media commits to ensuring that all work completed by these subcontractors or freelance workers adheres to the highest standards of quality, consistent with Valtoria Media's obligations under these Terms of Service.

The Offer includes one of several tiers (package) of VidConcierge Done-For-You that you can choose from. See the various packages and corresponding fees below. You will automatically be billed a monthly subscription rate in USD (plus applicable taxes) as per your chosen package.

By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

THESE TERMS AND CONDITIONS CONTAIN A DISPUTE RESOLUTION CLAUSE THAT IMPACTS YOUR RIGHTS ABOUT HOW TO RESOLVE DISPUTES. PLEASE READ IT CAREFULLY.

You authorize Valtoria Media to immediately process the credit card information you have provided to Valtoria Media, in the amount of your chosen VidConcierge package in USD (plus applicable taxes) at the time of purchase. You acknowledge and agree that the Offer purchase does not include any other service, product, or expense, other than as set forth herein. Furthermore, You understand and agree that Valtoria Media shall charge the credit card provided on an monthly basis moving forward, in the amount of your chosen VidConcierge package in USD (plus applicable taxes).

ESSENTIAL VidConcierge Package ($862/mo): For One (1) Channel For Two (2) Videos / Month Includes Expertly Written YouTube Video Script, ​Video Title Written & Optimized, ​Video Description Written & Optimized, ​Video Edited, Ready for Upload, ​Custom Thumbnail Design, and Additional Channel Support & Enhancement including ​Unlimited Revisions (Thumbnail, Video, Title, Description), ​Email Support, Channel Audit, Video Enhancement Feedback & Suggestion, Channel Banner Design (Includes 1 design / 1 revision).

Discounts:
From time to time, Valtoria Media may offer discounts on the initial and recurring subscription charges for its services. If you receive a discount, it will apply to the initial charge as well as to subsequent monthly charges associated with the subscription. This discount will continue to apply for the duration of the uninterrupted subscription.

Please be aware that if you cancel your subscription and later decide to reinstate it or purchase a new subscription, previous discounts will not apply to these future purchases. Discounts offered by Valtoria Media, Inc. are part of limited-time specials and may not always be available. As such, they are subject to discontinuation or modification at any time without prior notice.



Access To Your YouTube Channel.
For the purposes of managing your YouTube channel (Complete VidConcierge Package), you hereby grant Valtoria Media, as well as its employees, owners, and associates, authorized access to your YouTube channel and analytics. This includes the permissions to upload, view, edit, and delete YouTube videos, captions, as well as channel art including thumbnails and banners. There is no way for Valtoria Media to offer Complete YouTube Channel Management without having full authorized access to your channel.

Access To Your Third Party Online Graphic Design Tools / Accounts
For the purpose of creating channel art, such as custom thumbnails, you hereby grant Valtoria Media authorized access to your third-party online graphic design tools / accounts, which may include, but are not limited to, platforms such as Canva.

Intellectual Property
All content published and made available on our Site is the property of Valtoria Media, Inc. and the Site's creators. This includes, but is not limited to images, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

ADD ON OFFERS
You hereby authorize Valtoria Media to process immediately the credit card information provided by you for any add-on offers or services selected at checkout on the order page. The charge will be in USD (plus any applicable taxes) for the amount listed for each individual add-on offer you have purchased. Furthermore, you acknowledge and agree that, in the case of subscription-based add-on services, Valtoria Media is authorized to charge the provided credit card on a monthly basis for the amount of the chosen add-on service in USD (plus any applicable taxes).

Copyright Ownership
You, the purchaser, retain the copyright of all content provided by you. Additionally, you will own the copyright of the finalized edited video created using your content.

AI-Generated Content
Regarding AI-generated written content, such as blog articles, scripts, descriptions, titles, images, etc., you acknowledge and understand that, under current copyright laws, AI-generated content is generally not considered copyrightable. Therefore, the rights to AI-generated content remain subject to the prevailing legal standards and interpretations.

Accounts
When you create an account on our Site, you agree to the following:

You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account; and

All personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes.

We reserve the right to suspend or terminate your account if you are using our Site illegally or if you violate these Terms and Conditions.

The services will be paid for in full when the services are ordered.

We reserve the right to modify, reject or cancel your order whenever it becomes necessary. If we cancel your order and have already processed your payment, we will give you a refund equal to the amount you paid. You agree that it is your responsibility to monitor your payment instrument to verify receipt of any refund.

Subscriptions
Your subscription automatically renews and you will be automatically billed each month until we receive notification that you want to cancel the subscription.

To cancel your subscription, please follow these steps: We require at least ten (10) days' notice of cancellation by email. Email walter@valtoriamedia.com. If you provide such notification less than ten (10) days before the first day of your next subscription month, your credit card may still be charged.

You acknowledge and agree that Valtoria Media makes no guarantees regarding specific results from our services, including but not limited to increases in views, subscribers, watch time, ad revenues, other YouTube analytics growth, or acquisition of new clients for your business. You understand that results can vary based on numerous factors outside the control of Valtoria Media.

Consumer Protection Law
Where the Consumer Protection Act, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

Limitation of Liability
Valtoria Media, Inc. and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your use of the Site.

Indemnity
Except where prohibited by law, by using this Site you indemnify and hold harmless Valtoria Media, Inc. and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

Applicable Law
These Terms and Conditions are governed by the laws of the Province of Ontario.

Dispute Resolution
Subject to any exceptions specified in these Terms and Conditions, if you and Valtoria Media, Inc. are unable to resolve any dispute through informal discussion, then you and Valtoria Media, Inc. agree to submit the issue first before a non-binding mediator and to an arbitrator in the event that mediation fails. The decision of the arbitrator will be final and binding. Any mediator or arbitrator must be a neutral party acceptable to both you and Valtoria Media, Inc.. The costs of any mediation or arbitration will be shared equally between you and Valtoria Media, Inc..

Notwithstanding any other provision in these Terms and Conditions, you and Valtoria Media, Inc. agree that you both retain the right to bring an action in small claims court and to bring an action for injunctive relief or intellectual property infringement.

Severability
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

Changes
These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to these Terms and Conditions or post a notice on our Site.
